Terms of Service

1. Acceptance of Terms

By accessing or using the QuarterBit AI platform, CompFP4 software, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. QuarterBit AI is operated by Clouthier Simulation Labs (“we”, “us”, “our”).

2. License to Use

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. This license does not include the right to sublicense, resell, or redistribute the Service or any portion thereof.

3. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service or any underlying software;
  • Use the Service to develop a competing product or service;
  • Remove or alter any proprietary notices, labels, or marks;
  • Share your account credentials or allow unauthorized access;
  • Use the Service in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.

4. Intellectual Property

The Service, including all software, algorithms, documentation, trademarks, and content, is and remains the exclusive property of Clouthier Simulation Labs and its licensors. Nothing in these Terms transfers any intellectual property rights to you. Any feedback or suggestions you provide may be used by us without obligation to you.

5. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis via Square. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice. If payment fails, we may suspend or terminate your access to paid features. You are responsible for all taxes associated with your use of the Service.

6. Termination

We may suspend or terminate your access at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us at info@quarterbit.dev. Upon termination, your license to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUTHIER SIMULATION LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
